Terms of Service

The agreement between you and וויז'ן מדיה פרסום for the use of the WABOT service. Written in plain language, and binding.

Definitions and parties

These terms ("Terms") are an agreement between וויז'ן מדיה פרסום ("we", "the Company") and the business that opens an account in the WABOT service ("the Customer", "you"). WABOT is an AI-based receptionist service that answers the Customer's customers on WhatsApp and by phone, manages an appointment calendar and leads, and provides a management dashboard ("the Service").

Opening an account or using the Service constitutes acceptance of these Terms and of the Privacy Policy. If you accept the Terms on behalf of a business, you represent that you are authorised to bind it.

The account

  • The account is for businesses only (B2B) and for persons aged 18 or older.
  • The details provided at signup must be accurate and kept up to date.
  • You are responsible for safeguarding your password and for every action taken in the account, including by team members you added. Notify us immediately of any unauthorised use.
  • You may add users up to the seat quota of your plan; every user is bound by these Terms.

Trial, fees and billing

  • Every new account receives a 14-day trial of the Pro plan, with no credit card. When the trial ends you must choose a paid plan; until then the account is limited to the Starter plan quotas.
  • Prices are published on the pricing page in ILS (excluding VAT) or in US dollars, according to the business's country. Billing is monthly or yearly in advance; a yearly plan is priced at ten months.
  • Every plan includes usage quotas (messages, call minutes, seats, numbers, contacts) measured per calendar month. Exceeding a quota may limit the Service until an upgrade or the start of the next month.
  • Third-party costs that apply directly to you (for example Meta conversation charges or telephony minutes beyond the quota) are shown in the dashboard before they are charged.
  • We may change prices or plans with at least 30 days' notice; a change does not apply to a period already paid for.
  • Payments made are non-refundable, except as required by law or as set out in the termination section.

Acceptable use and anti-spam

The Service is built to answer inbound enquiries and to continue conversations that your customer initiated. You undertake:

  • Not to send marketing messages without the recipient's explicit, documented, prior consent, in accordance with Section 30A of the Israeli Communications Law (Telecommunications and Broadcasting), 1982, and with the law applicable in the recipient's country.
  • To honour every opt-out request immediately and permanently. The Service enforces this automatically, and the mechanism must not be circumvented.
  • To comply with the WhatsApp Business Policy and Meta's Commerce Policy, including the ban on prohibited industries and on misleading content.
  • Not to impersonate any person or entity, not to mislead customers about who is replying, and not to use the Service to collect data without a lawful basis.
  • Not to send unlawful, offensive, threatening or infringing content, and not to attempt to breach, overload or disrupt the Service.
  • Not to use the Service to provide medical, legal or financial advice that requires a licence, but only to schedule and manage enquiries.

A breach of this section entitles us to suspend or terminate the account immediately. You bear full responsibility for the content of messages sent from your account and for the consents collected.

The knowledge base and AI answers

Answers are generated automatically from the information you enter (services, prices, hours, processes) and by a third-party language model. You are responsible for the accuracy of the knowledge base and for keeping it up to date, and for checking that the persona and prices match your business.

Artificial intelligence can make mistakes. The Service is meant to assist a human team, not to replace professional judgement, and we recommend reviewing leads and commitments before acting on them. We are not liable for offers, prices or commitments the receptionist phrased on the basis of incorrect or missing information in the knowledge base.

Personal data and privacy

  • Data about your customers (numbers, conversations, appointments, leads) belongs to you. You are the controller of that data, and we process it on your behalf solely to provide the Service.
  • You are responsible for meeting your privacy obligations towards your customers, including a privacy notice. The Service provides a per-business privacy page you can adapt.
  • Sub-processors: Meta (WhatsApp Business Platform), Anthropic (the language model), a transcription provider (voice notes), the hosted voice provider (phone calls) and the hosting provider. Message and call content is passed to them only for the operation itself.
  • Conversation content is deleted automatically after the retention period set in the account (default 180 days). Records of consents and opt-outs are kept afterwards as evidence.
  • We do not sell data and do not use it for third-party marketing. Details are in the Privacy Policy.

Availability and support

We strive to keep the Service continuously available, but it depends on third-party services (Meta, voice providers, model providers, telephony) and on internet infrastructure outside our control, and is therefore provided without an availability commitment unless a separate SLA agreement is signed (Enterprise plan). Planned maintenance is announced in advance where possible. Support is provided by email at bar203091@gmail.com and through the help centre.

Intellectual property

The Service, its code, design, the WABOT brand and its documentation are the property of the Company or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the Service for your business during the subscription period. You may not copy, reproduce, reverse-engineer or make the Service available to third parties. The content you enter and your knowledge base remain yours, and you grant us a licence to use them solely to operate the Service.

Limitation of liability

The Service is provided AS IS. To the maximum extent permitted by law, the Company is not liable for indirect or consequential damage, loss of profit, customers or data, or for damage arising from the acts of third-party providers, from the suspension of a number by Meta, or from use contrary to these Terms. Our total liability under any cause of action is limited to the amount you paid us in the 12 months preceding the event. Nothing here limits liability that cannot be limited by law.

Indemnity

You will indemnify the Company for any claim, fine or expense (including reasonable legal fees) arising from a breach of the acceptable-use section, from sending messages without consent, from infringing third-party rights, or from the content of your knowledge base and the messages sent from your account.

Termination and suspension

  • You may cancel the subscription at any time from the dashboard. The cancellation takes effect at the end of the current billing period, with no refund for the remainder of the period.
  • We may suspend or terminate an account by written notice in case of a breach of these Terms, non-payment not remedied within 14 days, a demand by Meta or a competent authority, or a risk to the Service and its users.
  • After the account ends you may export your data for 30 days. It is then deleted, except records of consents and opt-outs and records required by law.

Changes to the Terms

We may update these Terms from time to time. A material change is published in the dashboard or sent by email at least 14 days before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. The current version is always available on this page.

Governing law and jurisdiction

These Terms are governed exclusively by the laws of the State of Israel. The competent courts of the Tel Aviv-Jaffa district have exclusive jurisdiction over any dispute. In case of a conflict between the Hebrew and the English versions, the Hebrew version prevails.
